These Terms and Conditions (“Terms”) govern your use of Vital, LLC’s services, website, and membership programs. Please read them carefully. By using our website (www.vital-menopause.com), enrolling in membership, or receiving clinical services, you acknowledge and agree to these Terms. If you do not agree, you may not access or use our services.

1. Eligibility and Patient-Clinician Relationship

  • You must be at least 18 years of age to become a patient of Vital, LLC.

  • By enrolling, you voluntarily enter into a patient-clinician relationship with a licensed Vital, LLC provider.

  • Enrollment does not create health insurance coverage. Vital, LLC provides defined specialty care services only, not comprehensive insurance.

2. Services Provided

  • Covered Healthcare Services are listed in the Detailed Service List (available at www.vital-menopause.com). These may include consultations (telehealth/in-person), nutrition plans, labs, hormone prescriptions, health coaching, and care coordination.

  • Non-Covered Healthcare Services (such as compounded hormones, GLP-1 medications, specialty labs, or supplements) are billed separately at market value.

  • Vital, LLC may modify its Covered Service List at any time.

3. Fees and Payment

  • Membership options:

    • Month-to-Month: $225/month

    • Quarterly: $621.25/3 months

    • Semiannual: $1,242/6 months

    • Annual: $2,295/12 months

  • Registration Fee: $150 (one-time, non-refundable).

  • All fees are non-refundable.

  • Payment failures (expired card, insufficient funds) incur a $50 fee. Services may be suspended until accounts are current.

4. Privacy and Medical Information

  • Your privacy is protected in accordance with HIPAA and Vital, LLC’s Privacy Policy.

  • By enrolling, you authorize Vital, LLC to receive and use certain protected health information as needed to provide your care.

5. Digital Communications

  • Email and text messaging are available for non-urgent communications only.

  • Risks: electronic communications may be intercepted or misaddressed.

  • You agree not to use email/text for emergencies. In an emergency, dial 911.

  • Vital, LLC is not responsible for breaches not caused by its own misconduct.

6. Website Use

  • You may access our website for personal, non-commercial use only.

  • You agree not to misuse the website, upload harmful content, or attempt to breach security.

  • Content provided on the website is informational only and not a substitute for medical advice unless provided directly by a Vital, LLC provider.

7. Term and Termination

  • Membership continues according to your chosen payment cycle unless canceled.

  • To cancel, you must submit a signed Membership Cancellation Form (via mail, email, or fax). Termination takes effect at the end of the following month.

  • Vital, LLC may terminate membership at any time, subject to professional obligations.

8. Limitations of Services

  • Vital, LLC does not provide emergency care, hospitalization, specialist care, or services outside its defined scope.

  • You are financially responsible for any services obtained outside Vital, LLC.

9. Intellectual Property

  • All content, branding, and materials on www.vital-menopause.com are owned by Vital, LLC. You may not copy, distribute, or exploit them without written consent.

10. Limitation of Liability

  • Vital, LLC is not liable for indirect, incidental, or consequential damages arising from use of its website or services, except as required by law.

  • Services are provided “as is” and “as available.” No warranties are made regarding uninterrupted access or error-free operation.

11. Arbitration and Governing Law

  • Any disputes arising under these Terms will be resolved by binding arbitration under the Federal Arbitration Act.

  • Arbitration will occur in the county and state where services were provided.

  • You waive your right to a jury trial or class action.

  • These Terms are governed by the laws of the State of Colorado.

12. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force.
